OPPENHEIMER HLDG INC CL A NON VTG COMMON (OPY.US) is offering to purchase issued common shares for cash, subject to the terms and conditions set forth in the offer and letter of transmittal.

The terms of the offer are as follows (subject to proration):

Minimum bid: 34.00 USD
Maximum bid: 40.00 USD
Accepted bid increment: 0.25 USD

Holders wishing to tender their shares at a minimum bid price should make an election under the No Specified Price option, as such an election will be deemed to have been tendered at the minimum bid price.

The terms of the offer are as follows:

Option 1 - Take no action (DEFAULT)

Option 2 - TENDER AT SPECIFIED BID PRICE FROM $34.00 TO $40.00 PER SHARE (in increments of $0.25) (e. g 34.25, 34.50,34.75......)

Option 3 - Tender shares – No Specified Price

***No response is required for holders electing Option 1 ***

The deadline to tender shares to the offer will be 20/06/2023@ 16:00 (HONG KONG TIME GMT+8).

In the absence of an election, no action will be taken.
